  11. Transaction Details and Listings

    1. Authority of Buyers and Sellers

All pricing and contractual terms are the responsibility of and established solely by the buyer and seller, and any contract of sale or rental is entered into directly between them. Scaffold Hub is not involved in, and does not participate in, any pricing discussions, negotiations, or determinations, and Scaffold Hub does not set, control, or influence the purchase price, quantity, quality, specifications, delivery arrangements, payment terms, or any other terms of sale or rental agreed between buyers and sellers. All negotiation messages between the buyer and seller are monitored and mediated by a Scaffold Hub representative, who acts as an industry expert to facilitate discussions and field questions that may naturally arise, but who does not act as an agent for either party. For greater certainty, Scaffold Hub is not a broker, dealer, agent, representative, fiduciary, or advisor for either party, and has no authority to make representations or warranties on either party’s behalf. As a seller, you must have the legal authority to sell any equipment you list for sale or rental through the Services. Any information you include in a Listing (as defined hereafter), such as descriptions, graphics, photos, and other content about the equipment must be complete, truthful and accurate, and you represent and warrant to all buyers that you have the right to sell the equipment and that the information you provided is complete, truthful and accurate. As a buyer, you must have the legal authority to buy any equipment you make an offer on or buy through the Services. Unless a Transaction is prohibited by law or violates these Terms, you must complete payment for any Transaction you enter (subject to the rights of a buyer during a verification period).

    2. Listing Information

The listing on the website that you provide as a seller for your equipment, including any User Content provided therein, (the “Listing”) must provide information to help buyers decide what to buy and know what to expect when they pick-up the equipment. As a seller, you hereby agree to use the Listing only as a means to describe the equipment for sale or rental and communicate the terms of the Transaction. You agree to include as much detail as possible about the equipment for the buyer, including but not limited to, the following: (a) the Buy Now Price (as defined hereafter) of the equipment, set according to your preference; (b) a detailed description of the equipment including its intended use, number of pieces, and any other information you have about the equipment; (c) a description of the condition of the equipment; (d) a description of any defects or flaws in the equipment; (e) the delivery terms and methods, costs, and associated information; (f) whether the equipment set out in the Listing can be rented (as further set out in Section 11(c) and Section 13); and (g) photographs taken of the actual equipment at the time of the Listing creation, unless you are using stock photographs of the original equipment in which case you agree to disclose that such photographs are stock photographs. Each Listing shall be valid for 3 months, and each Listing shall auto-renew for an additional 3 months, and seller shall be charged an additional Listing fee for each renewal. You hereby agree to fully, completely and accurately disclose all information relating to the equipment of which you are aware, including brand, manufacturer, or other information about origin. Any information such as brand, manufacturer, or other information relating to origin is considered User Content under these Terms and must be complete and accurate, and you shall be responsible for any inaccuracies, errors or omissions. Re-listings of the same or similar equipment (including after making material changes that require republication) may each incur an additional Listing Fee (as described hereafter). You agree not to list equipment that is illegal to use or possess under any legal rule or regulation. Listings must not include links to or a description of other items that you may have for sale or rental outside of the Services.

    3. Rental Listings

In certain instances, you may have the option, at the Seller’s discretion, to rent or lease some of all of the equipment set out in a Listing. Where a Listing denotes an opportunity to rent, you may contact Scaffold Hub to facilitate a rental of the equipment. Scaffold Hub will use commercially reasonable efforts to introduce you to the Seller and note that you are interested in renting and not purchasing the equipment. For more information on Rental Listings, please see Section 13.

    4. Tax/GST Number

In order to submit a Listing, the Seller must maintain an up-to-date Tax Number (i.e. GST Number or HST Number) attributed to the Seller or its business, and the Seller is solely responsible for invoicing, collecting, reporting and remitting all taxes applicable to a Transaction, excluding any taxes attributable to Scaffold Hub’s income.

    5. Exclusive Listing

The Services shall be the exclusive listing services for equipment you provide in a Listing and you shall not offer for sale, sell, purchase, lease or rent any equipment in any other manner until the earlier of: (a) the date such equipment is sold via the Services; or (b) 90 days after the Listing has been removed by the seller from the Services. If you offer or reference your contact information or request such information from a buyer or seller in the context of buying, selling or renting outside of the services, you may be liable to pay a fee to Scaffold Hub applicable to that equipment, at Scaffold Hub’s sole discretion, even if the equipment does not sell, based on your use of the Services for the introduction to a buyer.

    6. Ex Works

Unless otherwise stated in writing, all Listings are assumed to be offered on an Incoterms Ex Works basis. Any loading, unloading, delivery, pickup, freight, transportation, return logistics, site access, storage, handling, or related costs are not included in any price unless expressly agreed between the seller and buyer. The seller and buyer are responsible for negotiating and confirming all loading, delivery, pickup, return, freight, and transportation requirements during the Verification Period. Scaffold Hub is not responsible for arranging, managing, coordinating, paying for, or guaranteeing any loading, delivery, pickup, return, freight, or transportation services.

    7. No Manipulation

There is no guarantee as to the gross proceeds that may be realized from a Listing on the Services. You may not manipulate the Transaction in any way, including by making an offer on your own Listing, to artificially raise or lower the final sale or rental price or otherwise. In the event that Scaffold Hub, in its sole discretion, determines you may have committed price manipulation, Scaffold Hub will have the following relief available to it, without limiting in any way all other forms of relief available to it under law and equity: (a) ban you from future use of the Services, (b) cancel any involved Transaction(s), and (c) charge you the Transaction Fee (as hereinafter defined) applicable to the manipulated Transaction.

    8. Compliance with Applicable Laws

You represent and warrant that you will comply with all applicable laws in relation to any Listing or Transaction, including those relating to payment (and not providing payment in cash, as may be required by applicable laws), environmental laws, transaction registration (to the extent required under applicable laws), import and export laws, environmental laws, and any other applicable laws, rules and regulations governing the purchase, sale or rental of non-serialized scaffolding, shoring, formwork, and other large scale construction equipment and excess inventory.

    9. Removal of Listing

Scaffold Hub reserves the right, in its sole discretion, to: (i) refuse to list any piece of equipment at any time; (ii) withdraw any Listing; (iii) review and verify a Listing's information and description; or (iv) cancel any Transaction that it deems to be suspicious or fraudulent and report it to applicable authorities.

  12. Purchase Transactions

    1. Buyer's Binding Offer to Purchase

As a buyer, by choosing the Buy Now Option (as defined hereafter), making a buyer’s Offer (as defined hereafter), or accepting a Counteroffer (as defined hereafter), you hereby acknowledge and agree that you are making an irrevocable offer to purchase the equipment from the seller and, unless the Transaction is prohibited by law, regulation, and/or these Terms, you are legally obligated to complete the Transaction.

    2. Seller's Irrevocable Offer to Sell

As a seller, you hereby extend an irrevocable offer to sell the equipment, as applicable: (a) to a buyer who commits to purchase equipment at the Buy Now Price (as defined hereafter); (b) to a buyer you extend a Counteroffer to; or (c) to a buyer who commits to purchase equipment at a Negotiated Price (as defined hereafter). If you have made an irrevocable offer to sell equipment to a buyer in accordance with this section, no other buyer can elect the Buy Now Option for that equipment and no other offers can be made on that equipment until the earlier of: (y) the Introduction Fee for purchases is not made by the buyer within 7 days from: (i) the buyer choosing the Buy Now Option; (ii) your acceptance of a buyer’s Offer; or (iii) the buyer’s acceptance of your Counteroffer, as applicable; or (z) the equipment is rejected by the buyer during the Buyer Verification Period and you elect to re-list the equipment.

    3. Buy Now

When creating a Listing, sellers must establish an initial buy now price to offer buyers (the “Buy Now Price”). Sellers may lower this Buy Now Price during a listing period at any time prior to a buyer choosing to accept the Buy Now Price by indicating their choice to do so on the Listing on the website (“Buy Now Option”) and immediately paying the Introduction Fee for purchases within 7 days.

    4. Offers and Counteroffers

Buyers may make an offer on any Listing (an “Offer”), which will remain open for a period of 7 days before expiring (the “Offer Period”), during which time other buyers may make offers for the same Listing. If a buyer makes an Offer, the seller may: (a) accept the Offer; (b) reject the Offer; or (c) make a counteroffer on the Offer (a “Counteroffer”). A Counteroffer will be valid for a period of two (2) business days for a buyer to accept, after which the Counteroffer shall expire and be deemed rejected. Any Offer will be deemed rejected upon the earlier of: (a) the seller accepting a different buyer’s Offer before the expiring of the Offer Period; (b) the seller making a Counteroffer; or (c) the expiry of the Offer Period. Upon a seller’s acceptance of an Offer, or upon a buyer’s acceptance of a Counteroffer, the Listing shall be closed and the parties are legally bound to complete the Transaction at the agreed to final purchase price of the equipment (the “Negotiated Price”). Upon a seller’s acceptance of an Offer or a buyer’s acceptance of a Counteroffer, the buyer will be obligated to pay the required Introduction Fee for purchases within 24 hours.

    5. Introduction Fee and Conditional Purchase

After the buyer has paid the Introduction Fee for purchases, a conditional purchase contract between the buyer and seller is automatically concluded, and the transacting parties will have entered into a conditional contract to purchase the equipment (the “Conditional Purchase”). The Conditional Purchase is conditional only upon the completion of the Buyer Verification Period (as defined hereafter) in accordance with Section 12(h). You will be notified of the conclusion of the Conditional Purchase and of the commencement of the Buyer Verification Period by an email or other notification that is generated automatically by the Services (an “Automatic Notification”). Once the Introduction Fee for purchases has been paid, the contact information of the buyer and seller will be released in order for the buyer and seller to arrange inspection and pick-up and to exchange other necessary details.

    6. Buyer Verification Period

The buyer has a period of 14 calendar days, excluding the first day and including the last day, from being notified of the conclusion of a Conditional Purchase to inspect the equipment and either accept or reject the equipment for sale or rent (the “Buyer Verification Period”). Seller hereby agree to permit a buyer or any of their respective authorized representatives to test, and verify the condition, quantity and description of each piece of equipment (the “Buyer Verification”) at the time and place specified in the Listing or as otherwise mutually agreed by the transacting parties. You agree that the buyer’s Verification is solely for reporting on the visible condition of the equipment's major systems and attachments and are not intended to detect latent or hidden defects or conditions that could only be found by the physical dismantling of the equipment or the use of diagnostic tools or techniques. During the Buyer Verification Period, a buyer may: (a) accept the equipment, with or without a Buyer Verification, on the website; (b) be deemed to accept the equipment by letting the Buyer Verification Period lapse without having indicated their choice to accept the equipment on the website; or (c) reject the equipment during the Buyer Verification Period by choosing to reject the equipment on the website.

    7. Rejection and Introduction Fee Refund

If the buyer rejects the equipment during the Buyer Verification Period, the Listing will be re-opened and put back on the Services within 7 days for other users to view at no additional charge to the seller, and any Conditional Purchase will be automatically terminated. You may be notified by an Automatic Notification of such termination. The seller shall not be entitled to the Introduction Fee of a buyer. Scaffold Hub will use commercially reasonable efforts to refund the Introduction Fee less the Administration Fee and any applicable payment processor transaction fees to the buyer within 60 days from the termination of a Conditional Purchase.

    8. Acceptance

Upon the buyer’s acceptance of the equipment during the Buyer Verification Period, the condition of a Conditional Purchase shall be deemed satisfied and a final and the parties will independently coordinate entering into a final purchase contract on the terms of the applicable Conditional Purchase, or otherwise the terms and conditions agreed upon by the parties (the “Final Purchase Contract”). The Final Purchase Contract, and remaining payment in connection with the purchased and accepted equipment, shall be completed either privately between the parties or through the processes set out at Escrow.com. After the buyer has accepted or is deemed to have accepted the equipment, the Introduction Fee becomes non-refundable.

    9. Compliance with Escrow.com Terms and Conditions

As noted in Section 21, where the buyer and seller agree to facilitate the purchase through Escrow.com, the parties acknowledge and agree that the transaction will be governed by the terms, conditions and procedures set out by Escrow.com, including those related to payment, release of funds, default handling, disputes, timing and refunds. For greater certainty, as noted in Section 3, Scaffold Hub is a facilitator to the transacting parties and shall not be responsible for any component of the closing after acceptance or rejection during the Buyer Verification Period, including delivery, or payment of outstanding amounts.

    10. Limited Rights for Private Payment of Purchase Funds

The buyer and seller acknowledge that where the buyer and seller agree to facilitate the purchase and payment of amounts owed privately, and not through Scaffold Hub's suggested third-party escrow provider, Escrow.com, the parties do so at their own risk, and neither Scaffold Hub nor Escrow.com shall not be responsible or provide any support in the event of a default or disputes between the parties in relation to the payment of the any outstanding amounts, or any other matter relating to closing.

  13. Rental Transactions

    1. Rental Listings

A Listing may indicate that the equipment being offered for sale may be available for rent as well. Rental options are offered at the discretion of seller and are subject to availability, seller approval, credit approval, verification, and final agreement between the buyer and seller. Scaffold Hub does not guarantee that any listed equipment will be available for rent, that the seller will approve a rental request, or that the buyer and seller will reach a final rental agreement.

    2. Scaffold Hub’s Role in Rental Listings

For any Listing that includes an opportunity for rental or lease of equipment, Scaffold Hub’s role is solely limited to facilitating an introduction between the seller and prospective buyer and release of contact information between the transacting parties after the Introduction Fee for rentals is made. After the initial introduction and release of Introduction Fee for rentals, the transacting parties are solely responsible for managing the rental relationship directly, including acceptance of the equipment, and entering into an agreement relating to the ongoing rental of the equipment set out in the Listing for rental.

    3. Introduction Fee

To proceed with a rental introduction, the buyer shall pay to Scaffold Hub the Introduction Fee for rentals. The seller agrees that the Introduction Fee for rentals is retained by Scaffold Hub as compensation for facilitating the rental introduction and releasing the seller and buyer contact information. The seller acknowledges and agrees that the Introduction Fee for rentals is not payable to the seller, and will be kept by Scaffold Hub if the equipment is not rejected during the Renter Verification Period. The seller must not request, invoice, collect, or otherwise prompt payment from the buyer for rent during the time period for which the Introduction Fee for rental is to apply. The seller’s first direct rental invoice to the buyer must not begin until after the first rental period, unless otherwise agreed to in writing by Scaffold Hub. All rental payments after the first rental period are to be paid directly from by the buyer to the seller in accordance with the terms and conditions to rent agreed by the transacting parties. The seller shall not bypass Scaffold Hub or avoid payment of Scaffold Hub’s applicable fees after Scaffold Hub has introduced a buyer or facilitated a rental opportunity.

    4. Renter Verification Period

The buyer has a period of 14 calendar days, excluding the first day and including the last day, from paying the Introduction Fee for rentals and receiving the contact information of the seller to verify the details of the proposed rental (the “Renter Verification Period”), including but not limited to: (i) equipment availability, quality and condition; (ii) rental rate, duration and minimal rental term; (iii) loading, delivery, pickup, or Ex Works arrangements; (iv) credit application and approval; (v) insurance requirements; (vi) deposit requirements; (vii) damage, loss, repair, replacement, cleaning, and return terms; (viii) applicable taxes; and (ix) any other terms to be included in the written rental agreement required by the seller.

    5. Rejection and Introduction Fee Refund

If a buyer provides written notice of rejection to Scaffold Hub and the seller, and such objection, at Scaffold’s reasonable discretion, is acceptable to Scaffold Hub, then Scaffold Hub will use commercially reasonable efforts to refund the Introduction Fee for rental less the Administration Fee and any applicable payment processor transaction fees to the buyer within 60 days from the date of written notice.

    6. Acceptance

If the buyer does not provide written notice of a valid objection within the Renter Verification Period, the rental will be deemed accepted and Scaffold Hub may retain the Introduction Fee for rental.

    7. Ongoing Rental Relationship and Rental Agreement

Scaffold Hub does not manage recurring rental payments, off-rent notices, rental extensions, return dates, shortages, damage claims, lost equipment, deposits, insurance claims, late fees, collection issues, loading, delivery, pickup, return logistics, freight, transportation, or disputes between the seller and buyer. Any ongoing rental matters are handled directly between the transacting parties, and shall governed by a separate agreement entered into directly between the seller and buyer, to which Scaffold Hub: (i) is not a party; (ii) is not responsible for facilitating or negotiating; (iii) shall not be responsible or liable for. For greater certainty, Scaffold Hub does not inspect, certify, warrant, or guarantee the condition, quantity, quality, safety, legality, fitness for purpose, availability, rental value, or performance of any equipment listed for rent.
